Leaderment Codex Partner Agreement

This Partner Agreement (“Agreement”) governs the relationship between Hugh Gunn / The Leaderment Codex (“Leaderment”) and approved partner organisations (“Partner”). By accepting partner status, you agree to this Agreement.
1. Partner licence
Leaderment grants the Partner a non-exclusive, non-transferable licence to use the Leaderment Codex platform to: invite clients to complete the Leadership Self-Assessment; view and interpret client assessment results; and incorporate Leaderment Scores into leadership development programmes, coaching, facilitation, and consultancy work.
This licence is personal to the Partner organisation named in the application and may not be sublicensed or transferred.
2. Permitted use
Partners may: send assessment links to clients using the partner dashboard; present Leaderment Scores and profiles to clients as part of coaching and development programmes; and reference the Leaderment Codex framework in marketing materials, provided they do not misrepresent the methodology.
Partners must not: resell or white-label the platform as their own product; present Leaderment Scores as clinical, psychological, or HR-compliant assessments without appropriate caveats; or use the platform for any purpose that could bring the Leaderment Codex into disrepute.
3. Branding
The Leaderment Codex and Effective Power brands appear on all assessments and reports. Partners may present results under their own branding alongside the Leaderment Codex attribution, but may not remove or obscure the Leaderment Codex attribution.
4. Data protection
For the purposes of UK GDPR:
- The Partner is the data controller for client personal data (names, email addresses) that the Partner provides to the platform.
- Leaderment is the data processor for that data, acting on the Partner’s instructions.
The Partner confirms they have a lawful basis and, where required, consent from clients to share their personal data with the Leaderment Codex platform for the purpose of conducting the assessment.
Leaderment will process client data only to operate the assessment service. Client data will not be used for any other purpose, sold to third parties, or retained beyond the terms set out in the Privacy Policy.
This clause constitutes the Data Processing Agreement (DPA) between the parties for the purposes of Article 28 UK GDPR.
5. Intellectual property
The Leaderment Codex, its equations, methodology, and scoring system remain the intellectual property of Hugh Gunn at all times. Nothing in this Agreement transfers any IP rights to the Partner.
6. Disclaimer
The Leaderment Score is a computational output. It is not a clinical assessment, psychological instrument, or legally recognised HR tool. Partners accept responsibility for how they present and apply results to their clients and must not use results in formal employment, disciplinary, or legal proceedings without appropriate professional advice.
7. Termination
Either party may terminate partner status with 30 days’ written notice. Leaderment may suspend or terminate partner access immediately for breach of this Agreement. On termination, the Partner must cease using the platform and any Leaderment Codex branding.
8. Governing law
This Agreement is governed by the laws of England and Wales.
